A block listing application has been made for 1,150,000 ordinary shares of 1Op
each to be admitted to the Official List of the UK Listing Authority and
admitted to trading on the London Stock Exchange. These shares are being issued
fully paid and rank pari passu with the Company's existing ordinary shares.

The shares will be issued pursuant to the following Company schemes:

1,000,000    SAYE Schemes (UK, USA & Holland)
  150,000    Discretionary Executive Share Option Scheme 1997

Copies of this brochure are available for inspection from the Document Viewing
Facility of the UK Listing Authority during the next two business days and from
