                 RECOMMENDED PROPOSALS TO ENABLE THE COMPANY TO 
                           PURCHASE ITS OWN SHARES


Schroder Japan Growth Fund plc announces that it is to seek approval from
shareholders and warrantholders for a general authority for the Company to
purchase up to 14.99% of its own shares for cancellation.

A circular dated 3 April 2000 has been posted to shareholders and warrantholders
containing details of the proposals and notice of an Extraordinary General
Meeting as well as a separate meeting of warrantholders to be held on Tuesday, 2
May 2000.
