                                 Board Changes


The Board of Henderson TR Pacific announces the retirement of Iain Dale CBE,
Chairman, with effect from today's date. The Board wishes to thank Iain for his
valuable contribution as Chairman for the past ten years and a director for
thirteen years. The Board announces that David Robins, who joined the Board on 2
December 2002, has taken over as Chairman of the company.
