Exercise of LTIP Awards, Director Shareholdings and Total Voting Rights

 

Walker Greenbank PLC (AIM: WGB), the luxury interior furnishings group whose brands include Sanderson, Morris & Co., Harlequin, Zoffany, Scion and Anthology, announces that following the achievement of performance targets, the under mentioned executive directors and certain other employees have received ordinary shares of 1p each in the Company ("Ordinary Shares") under the terms of the Company's Long-Term Incentive Plan ("LTIP").

 

The shares vested on 18 May 2015 for nil consideration pursuant to a conditional award made on 18 May 2012. The number of Ordinary Shares which vested is stated after the deduction of tax and National Insurance.

 

Following the vesting, the Company was informed on 19 May 2015 that the under mentioned executive directors sold a proportion of their Ordinary Shares as set out in the table below.

The Ordinary Shares disposed of by the executive directors as set out above were acquired by existing institutional shareholders at a price of 190p per share.

 

409,962 Ordinary Shares have been issued and allotted under an existing blocklisting in order to satisfy the vesting.

 

Following the vesting, the Company hereby notifies that, as at the date of this announcement, the Company's issued share capital consists of 60,172,521 Ordinary Shares, with each share carrying the right to one vote. The Company does not hold any Ordinary Shares in Treasury therefore the total number of Ordinary Shares in the Company with voting rights is 60,172,521.

 

The above figure of 60,172,521 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
