This notification relates to transactions which have been notified to the Company in accordance with DTR 3.1.2R.

Vested awards - Guy Berruyer

On the vesting of awards under the Sage Group Deferred Bonus Plan (the Plan) on 10 December 2011, the following director of the Company became beneficially entitled to the number of ordinary shares of 1p each in the Company set out below, all of which were held in trust by Ogier Employee Benefit Trustee Limited as trustee of the Sage Group plc Employee Benefit Trust (the Trustee). The Trustee will transfer the legal title to the ordinary shares to the director (or as they may direct) in accordance with the rules of the Plan, subject to the sale of any ordinary shares in order to discharge a director's tax liability in respect of the vesting of an award.

In addition, the Company has been informed that on 12 December 2011 the following directors of The Company were granted awards under The Sage Group Deferred Bonus Plan over the ordinary shares of 1p each referred to below. No price is payable either on the grant or vesting of an award. The awards will normally vest, subject to possible forfeiture if the director leaves employment, on 12 December 2014.
