UPDATE TO TOTAL VOTING RIGHTS

In conformity with the Transparency Directive's transitional provision 6, RWS
Holdings plc ('the Company') makes the following notification.

The Company announced on 24 January 2007 an exercise of options and admission of
ordinary shares to trading on AIM.

As a result of this admission, the Company's increased share capital consists of
40,066,049 ordinary shares of 5 pence each with voting rights. No ordinary
shares are held in treasury. Therefore the total number of ordinary shares in
the Company with voting rights is 40,066,049.

The above figure of 40,066,049 ordinary shares may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.
