Discussions Underway re Refinancing

               ROSS GROUP PLC (the 'Company')
                              

Further  to recent announcements with respect to refinancing
plans,   the   Company  confirms  that  it  is  in   advance
negotiations  with  a major shareholder, controlled  by  The
Grande  Holdings  Limited, and expects to  announce  further
details shortly.

The Board wishes to re-emphasise that if negotiations do not
reach a satisfactory conclusion, then shareholders should be
aware  that it is likely that the Company will be unable  to
continue to trade.
