Application has been made to the UK Listing Authority for the listing of, and to
the London Stock Exchange for the Admission of 12,370,887 Ordinary Shares of 20p
each fully paid, ranking pari passu with the existing ordinary shares, to the
Official List.

These shares will be issued as the scrip dividend alternative for the final
dividend for the year ended 31 December 2000.

Copies of this brochure are available for inspection from the Document Viewing
Facility of the UK Listing Authority during the next two business days and from
