Renishaw PLC 08 May 2008 Renishaw plc Renewal of Voting arrangement The Board of Renishaw plc (the 'Company') announces today that David McMurtry and John Deer have renewed for a further five years the voting arrangement that they originally entered into and disclosed at the time of the offer for sale of shares in the Company and entry onto the Unlisted Securities Market. By the agreement dated 25 May 1983, David McMurtry and John Deer agreed that (i) John Deer will vote his shares in favour of any ordinary resolution if requested to do so by David McMurtry and (ii) David McMurtry will vote his shares against any special or extraordinary resolution if requested to do so by John Deer. The voting arrangement will terminate on the earlier of 25 May 2008 and the deaths of both of them. The voting arrangement has been renewed by an agreement dated 7 May 2008, which will terminate on the earlier of 25 May 2013 and the deaths of both of David McMurtry and John Deer. As John Deer has transferred a number of shares to his wife, Mrs Eileen Deer, Mrs Deer has also entered into the agreement and has agreed to the same obligations as her husband as set out in the previous paragraph.
