NOTICE TO THE NOTEHOLDERS

In accordance with Conditions 2(f) and 2(h) of the Terms and Conditions of the Notes, Shanks Group plc hereby gives notice that Shanks Netherlands Investments B.V., Shanks European Investments 1 Coöperatief W.A., Shanks European Investments 2 Coöperatief W.A. and Shanks European Holdings Limited have acceded as New Guarantors of the Notes and their respective guarantees came into force on 31 July 2014.

Terms defined in the trust deed dated 22 October 2010, as amended and/or supplemented from time to time, constituting the Notes have the same meaning when used in this notice.
