Disclosure of Interest in Voting Shares

I am writing to inform you that we have today received a notification dated
March 23, 2001, in accordance with Part VI of the Companies Act 1985 (as
amended), that the interest of Oechsle International Advisors ('Oechsle') in the
ordinary shares of 12.5p each in Reed International P.L.C. is as shown below:

39,720,964 shares, representing 3.1463% of the Company's current issued share
capital.

Oechsle acts as discretionary investment manager to various separate accounts
and funds that hold a beneficial interest in shares in Reed International P.L.C.
