On 16 October 2003, Andrew Morris, a director of the Company, exercised options
over 27,500 Rathbone Brothers Plc ordinary shares of 5p under the Rathbone
Employee Share Option Schemes 1993 and 1996 as follows:

18,000 ordinary shares arising from the exercise, representing 0.045% of the
issued share capital of the Company were then sold on 16 October 2003 at a price

Company.
