The independent trustee of the Rathbone Brothers Plc Long Term Incentive Plan
('LTIP') has notified the company that on 20 March 2007 it purchased 50,000
Rathbone Brothers Plc ordinary shares of 5p ('ordinary shares') at £12.44
representing 0.118% of the issued share capital of the Company. The shares are
registered in the name of Investec Bank (CI) Nominees Limited. Following this
transaction, the trustee holds a total of 74,794 ordinary shares (0.176% of the
issued share capital).

are therefore treated as having an interest.
