Responsibility (PDMR)

On 21 November 2006, a Person Discharging Managerial Responsibility (PDMR), Tim
Cartwright, exercised options over 1,000 Rathbone Brothers Plc Ordinary Shares
of 5p granted under The Rathbone Brothers Plc Non Inland Revenue Approved
Executive Share Option Scheme. The exercise price was £4.15 and the market value
at exercise was £12.10 (being the closing mid market price on 20 November 2006).
The shares allotted were registered in the name of BNY (OCS) Nominees Limited, 1
Piccadilly Gardens, Manchester, M1 1RN. The shares were sold on 22 November 2006
at £12.1355.
