Directors' shareholdings

On 31 March 2010, the following directors were awarded deferred awards of Rathbone Brothers Plc ordinary shares in respect of profit share due for the first quarter of 2010. Shares were awarded at £8.597 being the average of the closing mid-market share price during the 5 business days prior to the award date.

Ordinarily, deferred share awards will vest on the third anniversary of the end of the financial year (31 December 2013). Vesting is not subject to the satisfaction of performance conditions but all or part of an award may lapse in certain circumstances, for example in the event of the director being considered a 'bad leaver'.

Shares, which have been purchased in the market, are held by the Profit Share Plan trustees, Investec Trust (Guernsey) Limited and are registered in the name of Chase Nominees Limited.
