NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS


On 31 March 2008, a director and PDMR, Andy Pomfret, transferred 15,207 Rathbone
Brothers Plc ordinary shares to each of his two minor children. The shares are
held by his spouse as bare trustee. A further 27,000 shares were transferred to
his spouse on 1 April 2008. Following these transfers there is no change to his
declarable beneficial holding.

On 31 March 2008, a director and PDMR, Richard Lanyon, transferred 10,000
Rathbone Brothers Plc ordinary shares to each of two adult children. This
reduced his beneficial interest by 20,000 shares to 210,900 ordinary shares
(0.494% of the issued share capital).
