Premier Foods plc ('Premier Foods' or 'the Company')


Further to the announcement on 23 July 2004 that Merrill Lynch International, in
its capacity as stabilising manager in connection with the Global Offer, had a
notifiable interest under section 198 of the Companies Act 1985 in 24,418,605
ordinary shares in Premier Foods pursuant to an over-allotment option, the
Company received notification on 26 July 2004 that following the exercise of the
over-allotment arrangements in respect of the aforementioned 24,418,605 ordinary
shares in the Company, that Merrill Lynch International as at 26 July 2004 no
longer has a notifiable interest in the Company.
