Total Voting Rights and Share Capital

In conformity with the Transparency Directive's transitional provision 6,
Petrofac Limited is required to notify the  market of the following:

Further to the announcement by Petrofac Limited on 19 December 2006 and
following the issue of 274,938 ordinary shares  on 19 January 2007, Petrofac
Limited's issued share capital now consists of 345,434,858 ordinary shares with
a nominal  value of US$0.025 each, with voting rights. Petrofac Limited does not
hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Petrofac Limited is 345,434,858.

The above figure of 345,434,858 shares may be used by shareholders as the
denominator for the calculations by which  they will determine if they are
required to notify their interest in, or a change to their interest in, Petrofac
Limited under the Financial Service Authority's Disclosure and Transparency
Rules.
