LETTER TO PARITY GROUP PLC

SUBSTANTIAL SHAREHOLDING

This is to advise you, in accordance with Section 198 of the Companies Act 1985,
(as amended by Section 134 of the 1989 Act), that Henderson Global Investors and
its associated companies (acting as agent for its discretionary clients) now
hold (either directly or indirectly) 36,029,985 ordinary 5p shares in Parity
Group which represent 23.47% of the issued share capital of 153,534,001.

This disclosure follows the sale of 2,586,200 ordinary 5p Parity Group Plc
shares on 24 August 2001.

Within the 36,029,985 total Henderson Smaller Companies Investment Trust Plc
hold 6,679,000 shares which represents 4.35% of the issue share capital.
