Directors' Share Dealing (as Trustees)

Notification of the sale of 193 shares from Sir Martin Wood and Martin
Lamaison, Directors of Oxford Instruments plc, was received today.

These dealings are in respect of non-beneficial share holdings by the
Directors in their capacity as Trustees of the Oxford Instruments plc Share
Participation Scheme.  The decision to deal was taken by the other Trustees of
the Scheme acting independently of the Director Trustees on the directions of
the employees entitled to the relevant shares under the Scheme.
