Board change

Oxford Instruments plc today announces that Peter Hill will step down from his
position as a non-executive director of the Company with effect from 31 May
2004.

Nigel Keen, Chairman, said:

"Despite his continuing contribution to the Board, Peter does not meet the
criteria for independence set out in the New Combined Code because he and I are
both directors of The Laird Group PLC. Both Peter and the Board of Oxford
Instruments have therefore concluded that it is appropriate for him to stand
down as a Director. On behalf of the Board I would like to thank Peter for his
years of valuable service."
