Interim Dividend for the six months ended 30 June 2011 (No. 22)

and scrip dividend alternative

The Directors of Old Mutual plc have declared an interim dividend for the six months ended 30 June 2011 of 1.5p per share, which will be paid on 30 November 2011.

Shareholders on the South African, Zimbabwe and Malawi branch registers and the Namibian section of the principal register will be paid the local currency cash equivalents of the dividend under dividend access trust arrangements established in each country. Shareholders who hold their shares through Euroclear Sweden AB, the Swedish nominee, will be paid the cash equivalent of the dividend in Swedish Kronor. Local currency cash equivalents of the dividend for all five territories will be determined by the Company using exchange rates prevailing at the close of business on 29 September 2011 and will be announced by the Company on 30 September 2011.

A scrip dividend alternative will again be available for eligible shareholders who wish to elect to receive new ordinary shares in the Company ("New Ordinary Shares") in lieu of cash in respect of the interim dividend. The entitlement to receive the scrip dividend alternative is personal and non-transferable.  Shareholders who have previously joined the scrip dividend scheme on an evergreen basis and wish to continue to participate in the scheme need take no action.  The dates by which elections to participate in the scrip dividend alternative for the interim dividend must be received from shareholders who have not already made an evergreen election to participate in the scheme are set out in the table below.

Shareholders on the South African register whose shareholdings have been dematerialised or immobilised in the context of Strate through a CSDP or broker should contact their CSDP or broker to ascertain how they can elect to participate and the time deadline for the CSDP or broker to process their election in order for it to be submitted to the registrar by 12 noon on 14 October 2011.

Shareholders should note that they will not be able to trade their entitlement to New Ordinary Shares between 10 October 2011 and 29 November 2011 inclusive.

The full terms of the scrip dividend scheme are contained in a booklet which is available (along with related mandate forms) on the Company's website at www.oldmutual.com or from the Company's registrars.

Share certificates for shareholders on the South African register may not be dematerialised or rematerialised between 10 October 2011 and 14 October 2011, both dates inclusive, and transfers between the registers may not take place during that period.
