Perpetual Debenture Stock" and together the "Perpetual Debenture Stock") of the Company and notice of intention to cancel the listing of any Perpetual Debenture Stock not repurchased The Company hereby announces that pursuant to Condition 4 of the Conditions of each of the relevant Redeemable Debenture Stock, on 20 April 2005, the Company redeemed all of the £250,000 3.75 per cent. Redeemable Debenture Stock, all of the £710,000 4.25 per cent. Redeemable Debenture Stock and all of the £704,507 5.25 per cent. Redeemable Debenture Stock at par, together with interest accrued up to, but excluding, 20th April 2005. All Redeemable Debenture Stock so redeemed was cancelled on the date of redemption. The Company further announces that pursuant to an offer made to holders of the Perpetual Debenture Stock on 14 March 2005, on 20 April 2005, it repurchased all of the £200,000 in nominal amount outstanding of the 3.5 per cent. Perpetual Debenture Stock, £800,514 in nominal amount of the 4 per cent. Perpetual Debenture Stock and £1,056,388 in nominal amount of the 5 per cent. Perpetual Debenture Stock for cash consideration of, in each case, £1 in respect of each £1 in nominal amount of the relevant class of the Perpetual Debenture Stock plus accrued interest to, but excluding, 20 April 2005. £16,426 in nominal amount of the 4 per cent. Perpetual Debenture Stock and £3,360 in nominal amount of the 5 per cent. Perpetual Debenture Stock remain outstanding. Upon despatch to holders of the relevant Perpetual Debenture Stock of their relevant share of the consideration together with accrued interest as set out above, on 20 April 2004, the holding of the Perpetual Debenture Stock of such relevant holders was reduced to zero in the register of the relevant Perpetual Debenture Stock held at Computershare Investor Services PLC (the "Registrar") and the Registrar cancelled the certificate representing the repurchased Perpetual Debenture Stock. It is further announced that the Company will today notify the UK Listing Authority of (i) the redemption of all of the relevant Redeemable Debenture Stock, (ii) the repurchase of the requisite amount of the Perpetual Debenture Stock, as set out above and (iii) that it wishes to cancel the listing on the Official List of the outstanding 4 per cent. Perpetual Debenture Stock and 5 per cent. Perpetual Debenture Stock with effect from 8 a.m. 23 May 2005, in compliance with the required minimum 20 business days' notice of intended cancellation made through a Regulatory Information Service. In the meantime, trading in the outstanding 4 per cent. Perpetual Debenture Stock and 5 per cent. Perpetual Debenture Stock will continue on normal market basis until the cancellation of the listing. With effect from 23 May 2005, the listing of the 4 per cent. Perpetual Debenture Stock and 5 per cent. Perpetual Debenture Stock on the Official List and their trading on the London Stock Exchange plc's market for listed securities will be terminated.
