On 21st February 2000 The National Grid Group plc
acquired through ABN AMRO Equities (UK) Limited, 232,524
ordinary shares, at 462.816p per share.

These shares will be cancelled as soon as practicable,
whereafter 1,484,510,425 shares will remain in issue.

ABN AMRO Equities (UK) Limited is acting as agent for ABN
