THE FERC APPROVES NATIONAL GRID ACQUISITION OF NIAGARA MOHAWK

The Federal Energy Regulatory Commission (FERC) yesterday approved the
proposed acquisition by National Grid Group (National Grid) of Niagara Mohawk.

National Grid and Niagara Mohawk announced on 5 September 2000 the signing of
a Merger Agreement under which National Grid will acquire all of the
outstanding shares of Niagara Mohawk.

The acquisition is subject to a number of conditions including regulatory and
other consents and approvals. We now have six approvals. Completion is
targeted for the end of the calendar year following receipt of outstanding
approvals including those from the New York Public Service Commission and the
Securities and Exchange Commission.
