MURRAY INTERNATIONAL TRUST PLC

The resolutions put to shareholders at the Extraordinary General Meeting held
on 16 May 2000 and the adjourned Separate Class Meetings of Ordinary and B
Ordinary Shareholders held on 23 May 2000, to amend the Articles of
Association to:

(1) Entitle the Directors to fix a record date for the calculation of the
scrip dividend on the B ordinary shares and thereby permit the share buyback
facility to continue in the period between the calculation and up to the AGM.

(2) Allow the Company to purchase its own shares out of capital profits once
it has reapplied for investment company status

have been duly passed.
