MOTHERCARE PLC: CHANGE IN SHAREHOLDING

Mothercare plc announces that it was advised by Aviva plc that Morley Fund
Management Limited (a subsidiary of Aviva plc) of a decrease in their notifiable
interest in the share capital of Mothercare plc.


Morley Fund Management Limited's interest comprises 3,522,836 shares or 4.85%
(previously 4,296,889 or 5.99% on a share capital of 71,715,519) of Mothercare's
issued capital.
