In accordance with the Disclosure and Transparency Rules, Mothercare plc
announce that AEGON UK Group of Companies (comprising AEGON Asset Management UK
Limited, AEGON Investment Management UK Limited and AEGON ICVC) has advised the
company of a reduction in its voting rights in Mothercare plc.

The notifiable interest of direct and indirect holdings now comprises 3,538,563
ordinary shares all with voting rights (or 4.02%) being a direct holding of
3,522,776 (4.00%) and an indirect holding of 15,787 (0.02%) of the voting rights
(previously a total of 4,751,693 or 5.39%)
