MOTHERCARE PLC: CHANGE IN SHAREHOLDING


Mothercare plc announces that it was advised today by Fidelity Investments (on
behalf of FMR Corp. and its direct and indirect subsidiaries, and Fidelity
International Limited (FIL) and its direct and indirect subsidiaries) of an
increase in their notifiable interest in the share capital of Mothercare plc.

The interest comprises 10,213,680 shares or 14.05% (previously 10,106,195 or
13.91% on a share capital of 72,665,549) of Mothercare's issued capital.
