                                  BOARD CHANGES
                                        
The Morgan Crucible Company plc ('Morgan Crucible') today announces that Warren
Knowlton, Chief Executive, will be retiring at an appropriate time during the
third quarter this year. The board also announces that Mark Robertshaw will
become Chief Executive at that time. In the meantime, with immediate effect,
Mark Robertshaw will assume the role of Chief Operating Officer in addition to
his role as Chief Financial Officer of the group.

Mark has been Chief Financial Officer of Morgan Crucible since October 2004,
during which time he has handled the continued transformation of the group's
financial position and the disposal of the Magnetics division.

Prior to joining Morgan Crucible, Mark was the Chief Financial Officer of
Gartmore Investment Management Plc ('Gartmore'), the international asset
management firm, having previously run business development for the wealth
management division of NatWest Group, during which time he managed the
successful sale of the Gartmore business. Prior to this he spent 10 years with
Marakon Associates, a leading US-headquartered management consultancy. He
graduated from Oxford University in 1990.

Warren Knowlton, Chief Executive of Morgan Crucible, commented :
