At the Annual General Meeting of Elderstreet Downing VCT plc held earlier today,
all the resolutions were passed, with the exception of resolution 6 which was
withdrawn.


In addition the Company announced the resignation of Gareth Pearce and Richard
Hargreaves as Directors.  The Chairman, David Brock, thanked  them both for
their contribution since the Company was launched. in 1998 and said that the
Company would not be seeking to appoint new Directors in their place.
