APPOINTMENT OF NON-EXECUTIVE DIRECTOR

AND OTHER BOARD CHANGES

Photo-Me International plc (LSE: PHTM) is pleased to announce the appointment of Mr Jean-Marcel Denis as an independent non-executive director, with effect from 1 March 2012.

Jean-Marcel graduated in Law and subsequently qualified as an accountant. After spells at Paribas and Arthur Andersen he founded his own auditing firm in 1970 in Paris, Auditeurs & Conseils Associes (ACA).  He sold his interest in ACA in 2005, since when he has been a consultant in Finance & Conseils Associes, which specialises in business valuations.

Having regard to his background, the Board has also appointed Jean-Marcel as Chairman of the Audit Committee and as a member of both the Nomination and Remuneration Committees of the Board, with effect from his appointment as a director.

The Board has also appointed an existing director, Mr Emmanuel Olympitis, to the position of senior independent non-executive director with effect from 1 March 2012.  Mr Olympitis remains Chairman of the Remuneration Committee and Mr John Lewis remains Chairman of the Nomination Committee.

Announcing the appointments, John Lewis, Chairman of Photo-Me, said: "Jean-Marcel brings strong financial and commercial experience to the Board and we are delighted that he will be joining as an independent non-executive director.  With the changes to the Board committees and the appointment of Emmanuel as senior independent non-executive, we have now become fully compliant with the UK Corporate Governance Code in respect of our Board structure."

In accordance with Listing Rule 9.6.15, it is confirmed that there are no other details to be disclosed in respect of Jean-Marcel Denis pursuant to Listing Rule 9.6.13.
