                           Voting Rights and Capital





In conformity with the Transparency Directive's transitional provision 6, the
Directors of Aberdeen Growth Opportunities VCT PLC announce that the Company's
listed capital consists of 7,835,163 ordinary shares with voting rights. The
Company does not hold any shares in treasury.



The total number of voting rights is therefore 7,835,163 and this figure may be
used by shareholders as the denominator for calculations by which they determine
whether they are required to notify their interest in, or a change to their
interest in, the Company's shares under the FSA's Disclosure and Transparency
Rules.
