Please be advised that on May 20, 2004, the Board of Directors of Marsh &
McLennan Companies, Inc. (the 'Company') declared a quarterly dividend on the
Company's common stock of thirty-four cents ($.34) per share, payable August 13,
2004 to stockholders of record on July 7, 2004.

Effective today, the stockholders also elected six directors, Lewis W. Bernard,
Mathis Cabiallavetta, Zachary W. Carter, Robert F. Erburu, Oscar Fanjul and Ray
J. Groves, as Class I directors. Each of the Class I directors will serve for a
three-year term. The following persons were elected to serve as officers of the
