The Company was informed on 16th May 2006 that Principle Capital Holdings
Societe Anonyme (PCH) and Principle Capital Investment Trust plc (PCIT), each
have an interest in a total of 1,381,041 Ordinary Shares in Liberty plc which
represents 6.1% of the Company's issued shared capital and are parties to an
understanding by which they are deemed to be interested in each other's
interests in shares in Liberty plc. The registered and beneficial interests of
these shares are held as follows:
