London Stock Exchange Group plc received the following letter on 20 November
2006 from Nightingale Acquisition Limited a subsidiary of The Nasdaq Stock
Market, Inc.


We hereby notify you in accordance with Part VI of the Companies Act 1985 (the '
Act') that, following the acquisition (the 'Acquisition') of 7,065,984 ordinary
shares of 6 79/86 pence each in London Stock Exchange Group plc (the 'LSE'):



(a)          as at 20 November 2006, Nightingale Acquisition Limited ('NAL') was
interested for the purposes of the Act in 61,291,389 ordinary shares of 679/86
pence each in the relevant share capital, as defined in section 198(2) of the
Act, of the LSE ('Relevant Shares') representing approximately 28.75% of the
issued share capital of the LSE.  Prior to the Acquisition, NAL was interested
in 54,225,405 Relevant Shares representing approximately 25.4% in aggregate of
the issued share capital of the LSE;



(b)          we are or will be (once registration in the register of members of
the LSE has taken place) the registered holder of the Relevant Shares; and



(c)          none of the Relevant Shares are shares in which we are interested
by virtue of section 208(5) of the Act.
