COMPANIES ACT 1985 - DISCLOSURE OF INTEREST IN SHARES

Thank you for your letter dated 23rd October, 2003, which we received today 
regarding your firm's interest in shares in Lloyds TSB Group plc.

You quote a figure of 5,591,813,557, which was the issued share capital on 2nd 
October.  Although the figure on the 22nd October, 2003 was 5,592,202,674, it 
has now increased to 5,592,214,837. However, the interest still represents a 
3.03% holding, as indicated in your letter.
