Notification of interests of directors

Lloyds TSB Quest Limited, as trustee of the Lloyds TSB qualifying employee share
ownership trust, was allotted 3,722,627 shares in Lloyds TSB Group plc on 30th 
October, 2001 at 685p per share.

The following directors, together with some 73,000 other employees, are 
potential beneficiaries of the trust and are therefore to be treated as 
interested in the remaining 10,740,753 shares held in it.
