Changes to the Board of Directors

Lloyds TSB Group PLC 3 March 2000 LLOYDS TSB BOARD CHANGES Three non-executive directors, Sir Nicholas Goodison, Peter Nicholson and Dame Bridget Ogilvie DBE, will be retiring at the annual general meeting on 11 April 2000, having given valuable service to the Group over many years. Sir Nicholas was Chairman of TSB Group from 1989 to 1995 and became deputy chairman of Lloyds TSB Group following the merger. Peter Nicholson served as a director of Lloyds Bank from 1990 to 1995 and continued as a director of Lloyds TSB Group following the merger. Dame Bridget was appointed a director of Lloyds Bank in March 1995 and also continued as a director of Lloyds TSB Group following the merger. On 23 June 1999, Lloyds TSB Group announced the agreement for the transfer of the Scottish Widows business to the Group and that Lawrence Urquhart, the Scottish Widows chairman, and Mike Ross, its group chief executive, would join the Lloyds TSB Group board. The transfer becomes effective today and Mr Ross and Mr Urquhart are now joining the board. Biographical details of the new directors follow: Michael D Ross Joined Scottish Widows in 1964 and following a number of senior and general management appointments became group chief executive in 1991. He will become a deputy group chief executive of Lloyds TSB with responsibility for all life, pension, unit trust and fund management business. Aged 53. Lawrence M Urquhart Chairman of BAA and a non-executive director of Imerys SA. Joined Burmah Castrol in 1974 and held a number of senior and general management appointments before becoming chief executive in 1985 until 1993 and chairman in 1990 until 1998.
