William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan ('the ESOP') and on
2 July 2002 were allocated 254, 254 and 255 ordinary shares respectively at a
price of 295p per share. This takes their total holdings to 1,555,362, 1,750,254
and 480,748 ordinary shares respectively, representing approximately 4.68 per
cent, 5.26 per cent and 1.44 per cent. respectively of the ordinary issued share
capital of the Company.
