Kier Group plc announces that on 16 July 2003 the Trustee of the Kier Group All
Employee Share Ownership Plan acquired ordinary shares at a price of 555p for
the beneficial ownership of the following:

Mr C R W Busby        -   23 shares
Mr J Dodds            -   23 shares
Mr R W Gregory        -   23 shares
Miss D E Mattar       -   23 shares
Mr R W Side           -   22 shares

Following these transactions their beneficial holdings were:

Mr Busby              -        606,252 shares (1.7% of the issued share capital)
Mr  Dodds             -        566,488 shares (1.6% of the issued share capital)
Mr Gregory            -         16,440 shares (0.5% of the issued share capital)
Miss Mattar           -         29,853 shares (0.1% of the issued share capital)
