Update on Proposed Transaction by Opera to acquire the Imweru and Lubando Gold Projects from Kibo Mining plc ("Kibo")

Notice of Cancellation of Listing on the Official List and Proposed Admission to Trading on the AIM Market of the London Stock Exchange ("AIM")

Further to the announcements made by Kibo and Opera on 23 September, 2 December 2016 and 2 March 2017, Opera announces the following update in relation to the potential transaction by Opera to acquire the Imweru and Lubando Gold Projects from Kibo ("the Proposed Transaction").

 

The directors of Opera are pleased to announce that the transaction documentation required to complete the Proposed Transaction is substantially complete. In addition, the fund raising to complete the Proposed Transaction and the proposed admission to AIM is underway.

 

As previously announced, as part of the Proposed Transaction, Opera intends to apply to the UK Listing Authority ("UKLA") and London Stock Exchange plc ("LSE") requesting the cancellation of admission of the Company's shares to the standard segment of the UKLA's Official List and to trading in the Company's shares on the LSE's main market for listed securities and will seek admission to AIM of the enlarged share capital of Opera.

 

Pursuant to Listing Rule 5.2.8, the Company announces that the cancellation notice period has now commenced and cancellation is expected to take effect from 8:00 a.m. on 15 May 2017, being the anticipated completion date for the Proposed Transaction and admission of the Company's shares to trading on AIM.

 

Whilst transaction matters are at an advanced stage and Opera is therefore making this announcement, no binding agreement in respect of the Proposed Transaction has been reached and accordingly, there can be no certainty that the Proposed Transaction will proceed.

 

Shareholders should note that there remain a number of matters upon which completion of the Proposed Transaction is conditional, including, inter alia, completion of the associated fundraise and shareholder approval. In the event that the Proposed Transaction does not proceed, Opera intends to withdraw its cancellation request.

 

Further announcements in relation to the Proposed Transaction will be made as appropriate.
