          Resolutions passed at the Annual General Meeting

At  an  Annual  General Meeting of the Company held on 26th  January
2000 authority was given by shareholders for the Company to purchase
up  to 12,292,008 of its own ordinary shares (representing 14.99% of
the Company's issued share capital) for cancellation.

Additionally a special resolution was passed amending the Articles
of Association to enable the Company to regain investment company
status.
