              APPOINTMENT OF A NEW DIRECTOR

The  Board  of The Fleming Overseas Investment Trust  plc
are  pleased  to  announce the appointment  of  Mr  Simon
Davies  as a  non executive Director of the Company  with
effect from 29 November 1999.

Mr   Davies  is  currently  Chief  Executive  and   Chief
Investment  Officer  of Threadneedle Investment  Managers
Limited.

There  are  no  disclosures required  to  be  made  under
paragraph  16.4  of  the  London Stock  Exchange  listing
rules.
