Tender offer for up to 5 per cent. of the shares in issue of the Company (the "Tender Offer")

Further to the Company's previous announcement on 17 May 2011, the Company is pleased to announce that it has today sent a circular to shareholders in the Company ("Shareholders") convening a general meeting to be held on 8 July 2011 to consider the provision of the Tender Offer (the "Circular").

A copy of the Circular can be obtained from the Company's website (http://www.jpmeuropeansmallercompanies.co.uk).

Expected timetable

Record date for Tender Offer	close of business on 16th May
Circular despatched to Shareholders	7th June
Latest time and date for receipt of Tender Offer forms and TTE instructions in CREST from Shareholders in respect of the Tender Offer	11.00 am on 5th July
2011 AGM and general meeting to approve Tender Offer	12 noon on 8th July
Calculation date for the tender price	13th July
Result of Tender Offer and tender price announced	15th July
Settlement date: cheques despatched and payments through CREST made and CREST accounts settled	28th July
Balancing share certificates despatched	Week commencing 15th August
