Reverse tender offer for up to 10 per cent. of the shares in issue of the Company (the "Tender Offer")

Further to the Company's previous announcement on 9th May 2012, the Company is pleased to announce that yesterday it sent a circular to shareholders in the Company ("Shareholders") convening a general meeting to be held on 18th July 2012 to consider the provision of the Tender Offer (the "Circular").

A copy of the Circular will shortly be available on the Company's website (http://www.jpmeuropeansmallercompanies.co.uk) and is available for viewing at the National Storage Mechanism which can be located at http//:www.morningstar.co.uk/uk/NSM 

Expected timetable

Circular despatched to Shareholders	14th June
2012 AGM and general meeting to approve Tender Offer	12.00 noon on 18th July
Latest time and date for receipt of Tender Offer forms and TTE instructions in CREST from Shareholders in respect of the Tender Offer	4.30 pm on 18th July
Record date for Tender Offer	close of business on 18th July
Calculation date	19th July
Result of Tender Offer, strike price discount and tender price announced	20th July
Settlement date: cheques despatched and payments through CREST made and CREST accounts settled	On or as soon as practicable after 30th July
Balancing share certificates despatched Record Date for final dividend Final dividend payment date	Week commencing 6th August Close of business on 3rd August 31st August
