JARDINE MATHESON HOLDINGS LIMITED ('JMH')
SHARE REPURCHASE UNDER THE TENDER OFFER

Pleased be advised that a total of 165,214,964 shares were repurchased by JMH
at a Strike Price of US$5.50 per share on 25 September 2000. 165,000,000
shares were repurchased under the Tender Offer and 214,964 shares were
repurchased under the same terms of the Tender Offer pursuant to the
Directors' general purchase authority.

In accordance with the Bermuda Companies Act, under which JMH is incorporated,
these shares are treated as cancelled immediately upon repurchase.
Accordingly, following the repurchase and cancellation of 165,214,964 shares,
the issued share capital of JMH is 645,054,677 shares.
