Impax Group plc (the 'Company')

Total Voting Rights

In accordance with the Transparency Directive the Company announces that as at 
today's date:
          
     •    The issued ordinary share capital, all of which is admitted to trading 
          on the AIM Market, comprises 109,499,098 ordinary shares of 1 pence 
          each ('Ordinary Shares')

     •    Each Ordinary Share entitles the holder, on a poll, to one vote;

     •    The total number of votes which may be cast on a poll on any 
          resolution at a general meeting of the Company is 109,499,098;

     •    The Company does not hold any shares in treasury.

The above figure (109,499,098) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the Company under the
Financial Services Authority's Disclosure and Transparency Rules.
