DIRECTOR/PDMR SHAREHOLDINGS 

The Company has today received notification of the following transactions in its ordinary shares of 10 pence each ("Ordinary Shares") by its executive directors, as named below. 

Release of awards under the Home Retail Group Performance Share Plan 

The Company made awards on 23 May 2012 under the terms of the Company's Performance Share Plan.  The awards were subject to performance conditions⁽¹⁾.  At the vesting date of 23 May 2015, Ordinary Shares were released as follows:

(1)  In respect of John Walden, 350,095 Ordinary Shares were not subject to performance conditions and were time vested only.  

(2)  Sale of shares to satisfy the income tax and social security liabilities falling due on the release of these shares and to cover the incidental costs of disposal.

(3)  Sale of shares to satisfy the income tax and social security liabilities falling due on the release of these shares, to cover the incidental costs of disposal and to fund the purchase of a primary residence in the UK, including shares sold pursuant to a trading plan entered into on 29 May 2015.

The sale of shares took place on the London Stock Exchange between 26 May and 5 June 2015, at an average price of 159 pence per Ordinary Share.  

The proportion of the awards in respect of which the performance conditions were not satisfied has lapsed.

Notification of these transactions is now made in accordance with Rule 3.1.4R of the Disclosure Rules and Transparency Rules.
