Share Option Scheme

On 18 April 2006, Hiscox plc allotted 28,339 shares at an exercise price of
£1.465 and 15,458 shares at an exercise price of £1.252, under the Hiscox
Unapproved Share Option Scheme.

These shares will rank pari passu with the existing class of ordinary 5p shares
in issue.

The issued share capital of Hiscox plc is now 392,305,976 ordinary shares of 5p
each.
